Distance Sales Contract

1. Parties

This Distance Sales Contract ("Contract") is entered into between:

• SELLER: Courton Platform ("Courton"), a software service provider registered at the address provided below.
• BUYER: The individual or legal entity ("User") who purchases services through the CourtON platform.

2. Subject of the Contract

The subject of this Contract is the determination of the rights and obligations of the parties in accordance with the provisions of the Law on the Protection of Consumers No. 6502 and the Regulation on Distance Contracts, regarding the sale and delivery of the CourtON software platform services (SaaS) that the BUYER has ordered electronically through the SELLER's platform.

3. Service Information

The services provided under this Contract include the following subscription plans:

• Free Plan: Full access to the CourtON platform (unlimited locations, courts and bookings) — 0 TRY. Revenue comes from commission, charged only on bookings that arrive through CourtON.
• Basic Plan: Up to 50 members, basic scheduling, 1 court, email support — Pricing as displayed on the pricing page.
• Professional Plan: Advanced features, up to 200 members, 5 courts, priority support — Pricing as displayed.
• Business Plan: Unlimited members and courts, API access, dedicated support, custom branding — Pricing as displayed.
• All prices include VAT. The current pricing is available at https://courton.club/pricing.

4. Payment and Delivery

Payment is processed securely through iyzico payment gateway using Visa, MasterCard, Troy, or American Express. Service access is granted immediately upon successful payment or at the start of the selected subscription period.

5. Right of Withdrawal

The BUYER has the right to withdraw from this Contract within 14 days of the contract date without giving any reason. However, in accordance with Article 15 of the Distance Contracts Regulation, if the service starts with the BUYER's express consent before the withdrawal period expires, the right of withdrawal cannot be exercised.

• If the service has not started: Full refund within 14 days of withdrawal notice.
• If the service has started: The BUYER acknowledges and accepts that the right of withdrawal expires once service delivery begins.
• To exercise the right of withdrawal: Email [email protected] with your account details.

6. Service Cancellation and Refund

The BUYER may cancel their subscription at any time. Cancellation takes effect at the end of the current billing period. The BUYER shall not be entitled to a refund for the remainder of the billing period after cancellation.

• Monthly subscriptions: Cancel anytime — access continues until the end of the paid period.
• Yearly subscriptions: Cancel anytime — no refund for remaining months.
• Refunds are processed within 7 business days to the original payment method via iyzico.

7. Commencement of Service

The BUYER acknowledges that by creating an account and starting to use the CourtON platform, the service has commenced. By completing the purchase or moving to a paid plan, the BUYER expressly agrees to the commencement of the service before the expiry of the withdrawal period.

8. Declarations and Undertakings of the Parties

The SELLER declares and undertakes that:

• The platform is provided as described and will function in accordance with its specifications, subject to maintenance and updates.
• It will take all necessary measures for the security of the BUYER's personal data.
• It will not share the BUYER's data with third parties except for payment processing (iyzico) and legal obligations.
• The BUYER declares and undertakes that all information provided is accurate and up-to-date.

9. Limitation of Liability

To the maximum extent permitted by law, the SELLER's (Courton) total aggregate liability arising out of this Contract shall be limited to the refund of the amounts actually paid by the BUYER to the SELLER. The SELLER cannot be held liable for any damage, loss, or obligation other than the refund of the payments it has received:

• Indirect, incidental, or consequential damages arising from the use of the services provided through the platform.
• Acts or omissions of third-party service providers (including payment processors such as iyzico, and infrastructure providers).
• Events, accidents, or injuries arising from the BUYER's or the Club's own activities.
• Force majeure events.

10. Intellectual Property

All intellectual property rights related to the CourtON platform, including its software, design, and content, belong to Courton. The BUYER is granted a limited, non-exclusive, non-transferable right to use the platform during the subscription period.

11. Dispute Resolution

This Contract is governed by the laws of Turkey. Any disputes arising from this Contract shall be resolved in the Consumer Arbitration Committees and Consumer Courts in Istanbul, Turkey, within the monetary limits prescribed by law.

12. Effectiveness

This Contract becomes effective upon the BUYER's acceptance during the checkout process. The BUYER's explicit acceptance of this Contract (by checking the required box) is mandatory for the completion of the purchase.
